Because intellectual property and information technology often play critical roles in mergers and acquisitions, divestitures, financings and investments, our attorneys are brought in on virtually all of the transactions that pass through Schulte Roth & Zabel‘s offices, and we’re involved from the term sheet stage through closing. Structuring and negotiating a transaction to minimize risk and secure sufficient rights to maximize value requires striking a delicate balance, and our attorneys have the transactional experience, the legal and technical expertise, and the practical understanding of our clients’ business objectives to achieve the desired result.

We evaluate and advise on the intellectual property and information technology assets of the companies involved in a transaction, and on the practices and policies that the companies employ regarding such assets. We also provide counseling and negotiate specific agreements regarding the acquiring, divesting, transferring, transitioning and licensing of the intellectual property and information technology involved in a transaction.
