Newly created entities resulting from merger, acquisition and divestiture transactions often require temporary support services from formerly affiliated entities in order to continue to operate while transitioning to become a standalone business. These so-called “transition” services may include human resources, procurement, finance, payroll, IT disaster recovery, telecommunications services, access to office space, and the transfer of books, records and other information and data. These services often continue for 12–24 months and are critical to the success of the transaction. The Intellectual Property, Sourcing and Technology Group uses its expertise in sourcing services and technology agreements to tackle key risks and issues, draft and negotiate comprehensive transition services agreements that protect our clients’ interests, and identify, and help clients to obtain, the third-party consents required for the provision of the services.
