Schulte Roth & Zabel Adds Leading Private Equity and Real Estate Groups to New York Office

Schulte Roth & Zabel is pleased to announce a major expansion of its New York office with the addition of a group of leading private equity and real estate attorneys joining the firm from Dewey & LeBoeuf LLP. Joseph A. Smith and Marshall S. Brozost join as partners, Sanford W. Morhouse joins as of counsel, and Russel G. Perkins, Shawn R. McCune and David C. Miller join as special counsel. In addition, Jason L. Behrens, Geoffrey L. Butler, Lauren E. Cook, Lauren King and Jennifer M. Lew are joining the firm as associates.

PARTNERS AND OF COUNSEL

Joseph A. Smith joins as a partner in the investment management group. Internationally known in the area of private equity and investment fund formation, Mr. Smith focuses his practice on the representation of fund sponsors, asset managers and institutional investors in connection with the formation of private investment funds, the acquisition of portfolio investments and the implementation of exit strategies. In this capacity, Mr. Smith advises clients on securities, governance, ERISA, Investment Advisers Act and structural issues. He has extensive experience with all alternative asset classes, including venture capital and later-stage growth equity investments, leveraged buy-outs, mezzanine investments, real estate ventures and opportunity funds, secondary investments, funds-of-funds and hedge funds. In addition to domestic representations, Mr. Smith has advised private equity clients in connection with the acquisition and structuring of portfolio company investments throughout Europe, Latin America and Asia. His representation of asset managers in the real estate sector includes advice concerning REIT offerings and privatizations, partnership roll-ups and cross-border investments. Mr. Smith has been recognized as a leading practitioner by Chambers USA, The Legal 500 and The Legal Media Group Guide to the World’s Leading Private Equity Lawyers. He received his A.B. from Columbia University and his J.D. from New York University School of Law.

Marshall S. Brozost joins as a partner in the real estate group. Mr. Brozost focuses his practice on all aspects of commercial real estate, including purchases and sales, formation of joint ventures, real estate fund formation, mortgage and mezzanine financing, workouts and leasing. His clients include a wide variety of real estate private equity funds, investment advisers, domestic and foreign institutional investors, lenders and developers. Mr. Brozost’s practice has also included many CMBS, private equity and merger and acquisition transactions. He received his B.A. from Wesleyan University and his J.D. from New York University School of Law.

Sanford W. Morhouse joins as of counsel. Mr. Morhouse centers his practice primarily in the areas of corporate and real estate finance. His principal clients include major pension funds, investment advisers and fund sponsors, and his practice involves the creation of, and investments in, private and public investment vehicles and the representation of portfolio companies and properties acquired thereby. While at Dewey Ballantine LLP, a predecessor firm of Dewey & LeBoeuf, Mr. Morhouse chaired the firm’s real estate and private equity groups, co-chaired the firm’s corporate department and served on the firm’s executive committee. Mr. Morhouse has been recognized in Chambers USA as a leader in the field of private equity. He received his B.A. from Williams College and his J.D. from Columbia Law School.

SPECIAL COUNSEL

Russel G. Perkins joins as special counsel in the investment management group. Mr. Perkins focuses his practice on the structuring, formation and negotiation of private equity funds and hedge funds. He has represented a wide variety of fund sponsors, asset managers and institutional investors in all stages of private equity funds, real estate funds, secondaries funds, funds of funds and other alternative asset classes, both domestically and internationally. He deals regularly with issues relating to the Securities Act, the Investment Company Act, the Investment Advisers Act and ERISA. He also has significant private equity, venture capital and mergers and acquisitions transactional experience. He received his A.B., cum laude, from Harvard University and his J.D. from the University of Virginia School of Law.

Shawn R. McCune joins as special counsel in the investment management group. Mr. McCune represents a wide variety of fund sponsors, asset managers and institutional investors on the structuring, formation and negotiation of private equity funds and hedge funds. He advises clients in all stages of private equity funds, real estate funds, secondaries funds, funds of funds and other alternative asset classes — both domestically and internationally — and regularly deals with issues relating to the Securities Act, the Investment Company Act, the Investment Advisers Act and ERISA. He also has significant private equity, venture capital and mergers and acquisitions transactional experience. Mr. McCune received his B.A. from Middlebury College and his J.D., cum laude, from Boston University School of Law.

David C. Miller joins as special counsel in the investment management group. Mr. Miller centers his practice on the representation of institutional investors in connection with investments in managed accounts, private equity funds, real estate funds, hedge funds, secondaries funds, funds of funds and other alternative asset classes, both domestically and internationally. He regularly represents institutional investors such as DuPont Pension Trust, General Electric Pension Trust and the National Railroad Retirement Investment Trust. Mr. Miller also has significant experience relating to the organization and operation of a wide variety of private investment funds, including the preparation of offering materials, the preparation and negotiation of fund-level and upper-tier organizational documents and the resolution of issues relating to the Securities Act, the Investment Company Act and the Investment Advisers Act. He received his B.A. magna cum laude, from the University of Maryland, Baltimore County and his J.D. from New York University School of Law where he served as editor of Review of Law and Social Change.

ASSOCIATES

Jason L. Behrens joins as an associate in the investment management group. Mr. Behrens received his B.S. from Cornell University and his J.D., cum laude, from Georgetown University Law Center.

Geoffrey L. Butler joins as an associate in the real estate group. Mr. Butler received his B.A. from Yeshiva University and his J.D. from New York University School of Law.

Lauren E. Cook joins as an associate in the investment management group. Ms. Cook received her B.B.A. in finance with an accounting concentration, cum laude, from the College of William and Mary and her J.D., cum laude, from Boston University School of Law where she was the managing editor of the American Journal of Law and Medicine.

Lauren King joins as an associate in the investment management group. Ms. King received her B.A., summa cum laude, from Gettysburg College, and her J.D. from New York University School of Law, where she served as notes editor of the Journal of Law and Business.

Jennifer M. Lew joins as an associate in the investment management group. Ms. Lew received her B.S., with honors and distinction, from Cornell University and her J.D., cum laude, from Boston College Law School, where she was senior editor of the Boston College Law Review.
