The Federal Trade Commission Challenges a Non-Reportable, Consummated Merger

On July 7, 2006, the Federal Trade Commission ("FTC") issued a Complaint and Decision and Order challenging the acquisition by Hologic Inc. ("Hologic") of the breast cancer screening and diagnosis business of Fischer Imaging Corporation ("Fischer"). This transaction eliminated Hologic's only significant competitor in the prone stereotactic breast biopsy systems ("SSBS") business — according to the FTC, the only minimally invasive breast biopsy system well suited for visualizing microcalcifications.
