Vendor Finance

The term “Vendor Finance” refers to the relationship between the manufacturer or vendor of a product and the finance company (or companies) that provide financing for the manufacturer/vendor’s customers.

SRZ advises parties in vendor finance transactions, including private label programs, virtual and actual joint ventures, and referral programs. We also advise manufacturers, suppliers and vendors on issues with their captive financial institutions. Our attorneys regularly collaborate with members of other SRZ practice areas to optimize tax consequences, facilitate portfolio transfers, and handle human resources, regulatory, intellectual property, information technology and other matters in these complex, global representations.

We have represented parties to some of the largest vendor financing joint ventures in history, including:

  • Representation of Cerberus Capital Management LP in its purchase of control of GMAC and in all aspects of GMAC’s relationship with General Motors.
  • Representation of Chrysler in all aspects of its relationship with its captive finance company.
  • Representation of a U.S. financial institution in various vendor finance joint ventures with manufacturers including Gulfstream Aerospace, Dell Computers and Agilent Technologies. 
  • Representation of a U.S. financial institution in various vendor finance joint ventures with manufacturers and vendors including Microsoft, Philips Electronics, AGCO, Mahindra and John Deere.
