One of the most potent means for an activist investor to positively influence the direction of a company in which it has a significant equity interest is to seek the election of its nominees to the board of directors. But it is certainly not the only option. When board representation has not been necessary for activist investors to achieve their goals, some of them have waged what are commonly referred to as “Just Vote No” campaigns, which can be more cost effective and less time consuming than a traditional proxy solicitation.
