SRZ represented The Veritas Capital Fund III LP in its $1.2 billion acquisition, with co-investors, of Aeroflex, a publicly traded manufacturer of microelectronic and test and measurement products for the aerospace, defense and broadband communications markets. When credit markets froze, making a high-yield offering impractical, Veritas worked diligently with its financing source to find alternative financing structures and ultimately closed the transaction using a bifurcated bridge financing that was negotiated and drafted in two weeks. The transaction was also a rare example of a successful topping bid having been made pursuant to a public company merger agreement with a “go shop” provision, a recent innovation intended to provide a market check to assist in the target company board’s satisfaction of its fiduciary duties.
