Our finance group represents lenders and other financial institutions in debt financing transactions of varying sizes and types. These transactions include: senior and junior secured facilities, asset-based lines of credit, subordinated debt and mezzanine facilities (including "B" loan and other "last out" structures), leveraged acquisitions (including issuances of preferred equity), specialty credits for investment funds and privately held companies, and multinational and multi-currency loans and syndications. Our lawyers advise clients throughout the transaction, from the structuring of a proposed deal through the negotiation, documentation and administration of the credit facilities. We are one of the leading firms in the representation of lenders in secured financing for middle-market companies. Attorneys in the finance group work closely with our structured finance, business reorganization, real estate, tax, ERISA and environmental attorneys in advising our clients on the workout and restructuring of corporate, commercial and real estate loans, and other troubled projects. When a business transaction involves a debt component, whether for convertible debt, high-yield issuances, PIPEs or leveraged buy-outs, the finance group leads that part of the deal as well as lending its expertise to the overall transaction.
