Information Technology and Licensing Agreements

The global marketplace is becoming increasingly dependent on information technology (“IT”) systems, data, websites and other technology covered by intellectual property.

A critical precursor to the acquisition, implementation and use of IT systems and data is the forging of effective and comprehensive agreements that will govern the parties’ rights. Drawing on the experience our attorneys have gained over the course of hundreds of negotiations with and on behalf of IT providers and users, we help our clients evaluate their IT needs and identify any IT issues, and ensure that the necessary agreements are in place to address them appropriately.

IT agreements we have negotiated run the gamut, including software, hardware and data transfer; support and help desk; licensing and maintenance; hosted services; systems integration; research and development; electronic trading; e-commerce; escrow; VAR, OEM and distribution arrangements; network construction, network services and operation; digital rights management; and other IT consulting and service agreements. We have particular expertise in the acquisition, customization and implementation of IT solutions for the financial services industry, including systems used in securities trading and order execution, portfolio and asset management and accounting, and risk management and reporting, and the market and index data used in connection with such systems.

With respect to our clients’ websites, we advise and represent clients in connection with all aspects of developing and supporting a website, including drafting and negotiating website agreements pertaining to development, hosting, co-location, servicing, co-branding, linking, access and terms of use; and drafting the appropriate disclaimers and privacy policies for display on the site. We also assist clients in understanding and complying with all laws, rules and regulations, and with other matters that may be required regarding websites.
