Keane Group Announces Acquisition of RockPile Energy Services

Schulte represented Keane Group Inc. in its acquisition of RockPile Energy Services LLC, a provider of high-quality completion services to oil and gas exploration and production companies. Keane also issued a contingent value right that provides for the potential payment of $20 million depending on the trading price of Keane stock during a trading period ending on April 2, 2018, the nine-month anniversary of the closing. Under the terms of the agreement, Keane Group acquired all issued and outstanding RockPile shares in a cash and stock transaction for approximately $276 million. The transaction closed on July 3, 2017, and significantly increases the size of Keane’s fleet, one of the largest and most modern pressure pumping fleets in the United States.
