Schulte Advises PEN America in Merger with PEN USA

Schulte pro bono client PEN American Center Inc. in New York announced its intention to join forces with PEN Center USA West Inc. in Los Angeles. PEN America and PEN USA are nonprofit organizations dedicated to the celebration and defense of free expression. After the transaction is completed (which is expected to occur in late February), subject to the approval of PEN USA’s members, PEN America will be the sole member of PEN USA, and the two organizations will integrate their operations. With the assistance of Gibson, Dunn & Crutcher, who also served pro bono as local counsel in California, Schulte conducted due diligence, drafted revisions to organizational documents and negotiated a transaction agreement which involved matters of corporate, tax, employment and employee benefits and real estate law.
