Schulte Roth & Zabel attorneys have collaborated to update and expand Insider Trading Law and Compliance Answer Book 2016, a book published by Practising Law Institute. This easy-to-use, comprehensive treatise offers an explanation of both the basics and complexities of insider trading law.
Written in a clear, succinct question-and-answer format, this new edition fully integrates recent litigation and regulatory changes — including, importantly, the Second Circuit's decision in United States v. Newman and its progeny — and provides a step-by-step understanding of the legal requirements imposed upon all investors. Insider Trading Law and Compliance Answer Book 2016 walks readers through the elements of an insider trading claim, what is legitimate company research that can be freely acted upon and what is material, nonpublic information obtained in breach of a duty of trust or confidence that may preclude trading, when acting on a “tip” can incur legal liability, and the framework of civil and criminal penalties when insider trading has been successfully proven. New and expanded topics for the 2016 edition include discussions on the personal benefit requirement for tippee liability, reconsideration of cases in light of Newman, proposed federal insider trading legislation, Bitcoin and other virtual currencies, and training and compliance policies and procedures.
