Anthony Lombardi advises hedge fund, bank and other finance clients in connection with special situations, distressed investments, structured products, general corporate transactions and alternative finance transactions. His practice focuses on (i) finance transactions, including asset-backed finance, NAV-based facilities, capital call/subscription facilities and hybrid facilities; (ii) the purchase and sale of European, U.S. and emerging markets distressed assets, including bank debt and claims under the Loan Market Association secondary trading documents; and (iii) the structuring and negotiation of derivative transactions including prime brokerage agreements.

Representations

Advised Cantab Capital Partners on the sale of its business to GAM for upfront cash consideration of $217 million and deferred consideration based on future revenues, with Cantab retaining a 40-percent interest in future performance fees.

Advised Chenavari on the sale of a revenue share to Dyal Capital.

Represented numerous investment banks and funds in relation to par and distressed debt trading.

Represented the Special Liquidators of IBRC in relation to the preparation for the sale of certain of the IBRC loan book. 

Represented a leading financial institution with regards to the sale of a portfolio of 160 property loans.

Represented a property holding company in its successful cross-border (British Virgin Islands, Jersey, Luxembourg and UK) scheme of arrangement in relation to the sale of a leading US investment bank’s head office.

Represented an office holder in relation to the sale of a Jersey Property Unit Trust and advised with regards to structure and enforcement options.

Represented a major global bank in relation to an Opco/Propco reorganisation and the restructuring of the group’s debt.

Represented a major global bank in relation to the restructuring of a group of over 50 property companies.

Represented an Irish government entity in relation to their largest refinancing/restructuring deal.
