Gregory L. Kinzelman advises on mergers and acquisitions for private equity funds, and he has extensive experience with public and private transactions, both domestic and international. Specifically, he advises on Hart-Scott-Rodino Act compliance for complex transactions, including on Federal Trade Commission and Department of Justice regulations and procedures. In addition, he focuses his practice on pre-merger counseling and preparation of planning strategies for managing filings and second requests. Greg also has significant experience successfully guiding foreign purchasers of U.S. businesses through the Committee on Foreign Investment in the United States (CFIUS) process.

Pre-merger counseling and preparation of planning strategies for managing filings and second requests, and coordination of responses to agency requests for additional information. 

Coordinates merger control filing for multi-national mergers in jurisdictions including the EC, Canada, Latin America, Asia and Africa. 

Represented numerous private equity clients, including Insight Equity, Carlisle Infrastructure Partners and Arclight Capital Partners, in various acquisitions with respect to HSR and antitrust compliance.

Represented Fortune 200 companies, including Chevron, Exxon-Mobil, Delta Air Lines, Duke Energy, Lowe's, Raytheon and Smithfield Foods, in various acquisitions with respect to HSR and antitrust compliance

Represented Chinese energy companies in successfully obtaining CFIUS approval for acquisitions of US petroleum energy production facilities and waste-to-energy technology.

Litigation experience includes preparation of pleadings and briefs in antitrust cases before federal and state courts and agencies.

Advises corporations, trade associations and their political action committees on campaign finance law compliance.

Significant pro bono representation of organizations promoting the arts and architectural preservation, including the Washington Area Lawyers for the Arts and The Science Museum of Virginia Foundation.
