Richard A. Presutti is co-chair of the M&A and Securities Group and chair of the investment management M&A practice. Rick practices primarily in the areas of private equity, mergers and acquisitions, leveraged buyouts and alternative asset management transactional matters. He regularly represents a number of private equity clients, including Marlin Equity Partners, Cerberus Capital Management, Levine Leichtman Capital Partners, Black Diamond Capital Management and Veritas Capital.
Rick was named the North America Lawyer of the Year by Global M&A Network in recognition of his transactional expertise and commitment to client service, as well as for advising on the award-winning transaction — Cerberus Capital Management LP and its portfolio company North American Bus Industries Inc. (NABI) in NABI’s sale to New Flyer Industries Inc. He also represented Marlin Equity Partners in its sale of Capario to Emdeon Inc., which won “Deal of the Year - Healthcare” at the ACG New York Champion’s Awards; Chrysler Financial in its sale to TD Bank, a transaction named ACG Cross Border Deal of the Year; and Chrysler in its sale to the Fiat-led group, a transaction that received the M&A Atlas Deal of the Year award. Recognized by The Legal 500 US as a leading M&A lawyer, Rick is also among Global M&A Network’s elite group of the top 50 most influential North America M&A Lawyers.
Represented Marlin Equity Partners in numerous transactions, including its acquisitions of Fidelis Cybersecurity Solutions, Tellabs Inc. and NSN’s optical network business, and its sales of Liquent Inc. and Capario.
Represented Cerberus Capital Management in numerous transactions, including its sale of Blue Bird to Hennessy Capital Acquisition Corp., its acquisition of Visteon Corporation’s auto interiors business, its acquisition of Chrysler from Daimler, its sale of Chrysler Financial to TD Bank Group and its acquisition of 51 percent of GMAC from General Motors.
Represented Levine Leichtman Capital Partners in numerous transactions, including its acquisitions of Nobles from Inverness Graham Capital, Tronair from KRG and the assets of DRI Corporation out of bankruptcy.
Represented Orchard Brands Corporation in its sale to Bluestem Group Inc.
Represented Tiptree Financial Inc. in the sale of subsidiary Philadelphia Financial Group Inc. to funds managed by the Tactical Opportunities Group of The Blackstone Group LP.
Represented Black Diamond in its acquisition of Hines Growers and the sale of Hines’ assets to Color Spot.
Represented Veritas Capital in numerous transactions, including its acquisitions of Aeroflex Incorporated and DynCorp International.
Represented Chrysler in its sale to the Fiat-led group and the sale of Tritec Motors to Fiat Powertrain.
Represented Red Pine Advisors in its sale to Houlihan, Lokey, Howard & Zukin.
Represented Merrill Lynch in the sale of its senior ABS CDO portfolio to an affiliate of Lone Star Funds.
Represented Capstone Investment Advisors LLC in the sale of a passive minority interest to Dyal Capital Partners.
Represented Signet Capital Management in the sale of its fund-of-funds business to Morgan Creek Capital Management LLC.
