SRZ Deal Named Corporate/Strategic Acquisition Deal of the Year at M&A Advisor Awards

The sale of Charming Shoppes Inc. to Ascena Retail Group Inc. was named the Corporate/Strategic Acquisition Deal of the Year (Over $500mm) at the 11th Annual M&A Advisor Awards held in New York on Dec. 11, 2012. The M&A Advisor Awards recognizes the world’s leading mergers and acquisitions, financing and turnaround professionals. SRZ was co-counsel with Drinker Biddle & Reath LLP on this transaction. The SRZ team representing Charming Shoppes was led by mergers & acquisitions partner Marc Weingarten.
In addition, SRZ deals were selected as finalists in four other categories. The sale of Charming Shoppes Inc. to Ascena Retail Group Inc. was also a finalist for M&A Deal of the Year (Between $500mm and $1 Billion) and Consumer and Retail Products (Over $500mm) Sector Deal of the Year. Cerberus Capital Management, L.P.’s acquisition of AT&T’s Yellow Pages - Advertising Solutions and AT&T Interactive Businesses was a finalist for M&A Deal of the Year (Between $500mm and $1 Billion) and Technology, Media, Telecom (Between $100mm to under $1 Billion) Sector Deal of the Year. The sale of Morton's Restaurant Group Inc. to affiliates of Tilman J. Fertitta was a finalist for Consumer Services Sector Deal of the Year.

The US Securities and Exchange Commission (“SEC”) and the Commodity Futures Trading Commission (“CFTC”) have overhauled Form PF and private fund managers have until March 12, 2025, to begin reporting on the new Form. On March 1, 2024, New York Governor Kathy Hochul signed into law an amended version of the New York LLC Transparency Act (“NYLTA”),[1] requiring certain limited liability companies (“LLCs”) formed or authorized to do business in New York (each, a “NY Reporting Company”) to file a beneficial ownership information (“BOI”) report with the NY Department of State (“NY DOS”). Each NY Reporting Company will be required to disclose on its BOI report identifying information pertaining to each individual who directly or indirectly exercises substantial control or owns or controls 25 percent or more of the ownership interests of a NY Reporting Company (each, a “Beneficial Owner”) and the individuals involved in the NY Reporting Company’s formation or registration to do business in New York (each, an “Applicant”). Information reported to NY DOS will be maintained in a private database not accessible to the public. The NYLTA goes into effect on Jan. 1, 2026 and requires the NY DOS to promulgate regulations implementing the legislation.
