• Represented the ad hoc bondholder group in the successful recapitalization of an integrated building products company through an exchange of bond debt for equity and newly issued bonds; post-restructuring, we represented the company in its sale to a private fund manager. 
• Represented holders of term loans for a restaurant and food service supply company, including the successful settlement of protracted two-year litigation and drafting key market-leading anti-subordination provisions to amend the term loan agreement.
• Represented the agent for a group of more than a dozen lenders in the restructuring of a collegiate and high school commencement services company, resulting in the acquisition of a controlling interest.
• Represented a group of first-lien lenders to an operator of general acute care hospitals prior to the company's bankruptcy filing.
• Represented steering committee of first-lien lenders and noteholders, DIP financing lenders and the purchaser of substantially all the assets of a metallurgical coal producer for the global steel industry.
• Represented the ad hoc group of noteholders in an out-of-court exchange and tender offer by an independent energy company engaged in the acquisition, exploration, exploitation, development and production of crude oil and natural gas properties in the United States.
• Represented certain holders of convertible senior notes issued by a casino and hotel company in connection with a consent solicitation.
• Represented certain holders of convertible senior notes issued by an instant messaging software company in connection with a consent solicitation.
• Represented the ad hoc group of noteholders and new money lenders in a multibillion-dollar global restructuring of a multinational company in the green infrastructure, energy and water sectors.
• Represented ad hoc group of lenders holding over $1 billion of secured debt of a satellite communications company.

• Represented a private direct lender in connection with DIP financing to and acquisition of a hemp processor and CBD product manufacturer in bankruptcy.
• Represented an asset management firm as agent for a syndicate of lenders in the acquisition of a die-casting, manufacturing and engineering company through a bankruptcy plan.
• Represented the private debt branch of a fund management firm as lender to a section 363 sale purchaser in the Chapter 11 case of a multinational fast fashion retailer.
• Represented a private direct lender in restructuring of loans made to a manufacturer of home and personal care products and acquisition of controlling interest.

• Represented a private direct lender in restructuring of loans and other financial accommodations for a mattress company, resulting in acquisition of company through 363 sale.
• Represented a private direct lender in term loan credit facilities with a turnkey fabrication and construction company and in loan restructurings, resulting in acquisition of company.
• Represented a private direct lender as secured creditor in the restructuring of Gearbox Group and affiliates.

• Represented Staple Street Capital in acquisition of certain subsidiaries of Dimensional Dental LLC through out-of-court foreclosure.
• Represented Foundry Digital in the purchase of certain crypto mining sites and related assets of Compute North in its Chapter 11 cases.
• Represented Carl Icahn as largest bondholder and 363 bidder in the Blockbuster liquidation bankruptcy.
• Represented Bluestar Alliance in its acquisition of the Justice brand and related assets from Ascena Retail Group in its Chapter 11 case.
